Terms of Use

Article 1. Introduction

Bitria LLC ("the Company", "we", "us", "our") operates an information intermediary service platform (the "Platform") that provides Users with digital asset trading and related services. The Platform provides services to Users who register and open an account through the Bitria website or its applications.

By accessing or using the Platform, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

Article 2. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction.
• You have full legal capacity and authority to enter into these Terms.
• You are not located in, or a citizen or resident of, any jurisdiction where the use of the Platform would be prohibited or restricted by applicable law.
• You have not been previously suspended or removed from the Platform.
• You will comply with all applicable laws, regulations, and rules in your jurisdiction.

Article 3. Account Registration

To access certain features of the Platform, you must register and create an account. During registration, you agree to:

• Provide accurate, current, and complete information as required.
• Maintain and promptly update your account information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You may not use another person's account without their permission or create an account for someone else without their consent. We reserve the right to refuse registration or cancel an account at our sole discretion.

Article 4. Identity Verification (KYC)

In compliance with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) regulations, we require all Users to complete identity verification (Know Your Customer, "KYC") procedures. You agree to provide:

• Government-issued photo identification
• Proof of address documentation
• Selfie or facial verification
• Any additional information reasonably requested for verification purposes

We reserve the right to restrict or suspend your account until identity verification is completed to our satisfaction.

Article 5. Services

The Platform provides the following services:

• Spot Trading: Buying and selling digital assets at current market prices or limit prices.
• Futures Trading: Trading perpetual and delivery contracts with leverage.
• Margin Trading: Borrowing funds to trade digital assets with leverage.
• Deposit and Withdrawal: Depositing and withdrawing digital assets to and from the Platform.

The availability of specific services may vary depending on your jurisdiction and identity verification status. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

Article 6. Trading Rules

When using the Platform's trading services, you agree to:

• Bear all risks associated with digital asset trading, including the risk of total loss of your assets.
• Not engage in any form of market manipulation, including wash trading, spoofing, or layering.
• Not use the Platform for any illegal activity, including money laundering, terrorist financing, or fraud.
• Accept that all trades executed on the Platform are final and irreversible once confirmed.
• Understand that digital asset prices are highly volatile and past performance is not indicative of future results.

We reserve the right to cancel any trade or order if we reasonably believe it was executed in violation of these Terms or applicable law.

Article 7. Fees

The Platform charges fees for certain services, including but not limited to trading fees, withdrawal fees, and other applicable charges. The current fee schedule is available on the Platform and may be updated from time to time.

By using the Platform, you agree to pay all applicable fees. Fees are deducted automatically from your account at the time of the transaction. We reserve the right to modify our fee structure at any time with reasonable notice.

Article 8. Prohibited Activities

You agree not to engage in any of the following activities:

• Using the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempting to gain unauthorized access to the Platform, other accounts, or computer systems.
• Interfering with or disrupting the integrity or performance of the Platform.
• Using automated systems (bots, scrapers, etc.) to access the Platform without our express written consent.
• Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
• Engaging in any activity that could damage, disable, or impair the Platform.
• Circumventing or attempting to circumvent any security measures or access controls.

Article 9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, is the property of Bitria LLC or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Platform without our prior written consent.

Article 10. Limitation of Liability

To the maximum extent permitted by applicable law, Bitria LLC shall not be liable for:

• Any loss of profits, revenue, data, or other intangible losses resulting from your use of the Platform.
• Any direct, indirect, incidental, special, consequential, or punitive damages.
• Any losses arising from unauthorized access to or alteration of your account or data.
• Any losses resulting from market volatility, system failures, or interruptions of service.
• Any losses caused by third-party actions, including hacking, phishing, or other cyberattacks.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Article 11. Indemnification

You agree to indemnify, defend, and hold harmless Bitria LLC, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Platform or violation of these Terms.
• Your violation of any applicable law, regulation, or third-party rights.
• Any content or information you submit to the Platform.

Article 12. Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account and access to the Platform at any time, with or without cause, including but not limited to:

• Violation of these Terms or any applicable law or regulation.
• Failure to complete identity verification as required.
• Suspected fraudulent, illegal, or unauthorized activity.
• Request from law enforcement or government authorities.
• Extended period of inactivity.

Upon termination, you must withdraw any remaining assets from your account within the timeframe specified by us. We shall not be liable for any loss or damage resulting from the suspension or termination of your account.

Article 13. Risk Disclosure

Trading digital assets involves substantial risk. You should carefully consider whether trading or holding digital assets is suitable for you in light of your financial condition and risk tolerance. Key risks include:

• Market Risk: Digital asset prices are highly volatile and may fluctuate significantly in a short period of time.
• Regulatory Risk: Changes in laws and regulations may affect the value of digital assets or your ability to use the Platform.
• Technology Risk: Blockchain networks and smart contracts may contain vulnerabilities or errors.
• Liquidity Risk: Some digital assets may have limited liquidity, making it difficult to buy or sell at desired prices.
• Leverage Risk: Trading with leverage amplifies both potential gains and losses.

You acknowledge and accept all risks associated with digital asset trading and agree that Bitria LLC is not responsible for any losses you may incur.

Article 14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Georgia. Any dispute arising out of or in connection with these Terms shall be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Georgia for resolution.

Article 15. Amendments

We reserve the right to modify or update these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Platform with a new "Last updated" date.

Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
